Legalify User Agreement

This User Agreement (the “Agreement”) is a binding agreement between you and Legalify Inc., operating the website and platform available through Legalify.ca (“Legalify”, “we”, “us”, or “our”).
By creating an account, clicking to accept this Agreement, purchasing or requesting a service, submitting information through the Platform, booking a consultation, generating a document, or otherwise accessing or using the Platform, you agree to this Agreement.
If you do not agree, do not use the Platform.
1. Definitions and Scope
1.1 Definitions
In this Agreement:
- “Platform” means Legalify’s website, portals, forms, questionnaires, dashboards, document tools, booking tools, messaging tools, AI-assisted or automated features, downloadable materials, and related services.
- “Services” means the products, tools, workflows, information services, administrative support services, document-generation services, consultation-booking services, and related features made available through the Platform.
- “Documents” means any drafts, forms, templates, letters, agreements, checklists, summaries, outputs, or other materials created, uploaded, stored, assembled, or generated through the Platform.
- “User Content” means all information, prompts, answers, text, files, documents, data, communications, and other materials submitted, uploaded, entered, or transmitted by you or on your behalf.
- “Fees” means all charges, prices, taxes, and other amounts payable to Legalify for paid Services.
1.2 Services covered
This Agreement applies to your use of all account-based or interactive Legalify Services, including any future features unless governed by separate terms.
1.3 Other documents
Your use of the Platform is also subject to our:
- Terms of Use
- Privacy Policy
- CASL Acknowledgement
Those documents are incorporated into this Agreement by reference.
2. Important Disclosures About Legalify
2.1 Legalify is not your lawyer
Unless Legalify expressly states otherwise in a separate written retainer signed by a licensed legal professional, Legalify is not acting as your lawyer, paralegal, notary, tax adviser, accountant, fiduciary, or regulated representative.
2.2 No legal advice
The Platform provides general legal information, educational material, administrative workflows, self-help tools, and technology-enabled document services. Nothing on the Platform constitutes legal advice.
2.3 No solicitor-client or lawyer-client relationship
Your use of the Platform does not create a solicitor-client, lawyer-client, fiduciary, advisory, or similar professional relationship between you and Legalify.
2.4 No legal privilege with Legalify
Because Legalify is not acting as your lawyer unless expressly retained under a separate written retainer, communications between you and Legalify may not be protected by solicitor-client privilege or litigation privilege.
2.5 Independent professional advice remains your responsibility
You are solely responsible for deciding whether to obtain advice from a licensed lawyer, notary, paralegal, accountant, tax adviser, or other professional.
2.6 Not suitable for all matters
The Platform may be unsuitable for urgent, contested, complex, high-value, heavily regulated, or deadline-sensitive matters, including matters involving court hearings, imminent limitation periods, immigration emergencies, criminal exposure, family violence, contested estates, or disputes requiring individualized legal advice.
2.7 No deadline monitoring
Unless Legalify expressly agrees otherwise in writing, Legalify does not monitor court dates, filing deadlines, service deadlines, registry deadlines, limitation periods, notice periods, or renewal dates for you.
2.8 Canada-focused services
Legalify’s Services are intended primarily for matters governed by Canadian law and for users located in Canada. Legalify may restrict or refuse access where a matter, person, or use case is outside the intended Canadian scope of the Platform.
3. Eligibility and Account Registration
3.1 Eligibility
You represent and warrant that:
- you are at least the age of majority in your province or territory of residence;
- you have the legal capacity to enter into this Agreement;
- if you use the Platform on behalf of another person or organization, you have authority to bind that person or organization; and
- all information you provide to Legalify is true, accurate, current, and complete.
3.2 Account security
If you create an account, you are responsible for:
- keeping your login credentials confidential;
- restricting access to your devices and account;
- keeping your email and other contact information current; and
- notifying us promptly at info@legalify.ca if you suspect unauthorized access or use.
3.3 Identity and fraud checks
Legalify may require identity verification, billing verification, or fraud-prevention checks before enabling certain Services or access levels.
4. Your Responsibilities
You agree that you will:
- use the Platform only for lawful purposes;
- provide complete and accurate information;
- review all Documents and outputs carefully before relying on them;
- obtain independent professional advice where appropriate;
- complete any signing, witnessing, commissioning, notarization, delivery, service, registration, or filing steps required for your matter; and
- ensure you have authority to provide any personal information or materials about another person.
You acknowledge that the usefulness of any Document or output depends on the accuracy, completeness, and timeliness of the information you provide.
5. Documents, Outputs, Automation, and AI-Assisted Features
5.1 Technology-assisted outputs
The Platform may generate or assist with the generation of Documents and other outputs using rules-based automation, templates, or AI-assisted systems.
5.2 No guarantee of legal sufficiency
Unless Legalify expressly states otherwise in writing, Legalify does not guarantee that any Document or output is:
- legally valid;
- enforceable;
- complete;
- error-free;
- suitable for your specific circumstances;
- acceptable to a court, registry, government body, counterparty, bank, or insurer; or
- compliant with every province- or territory-specific rule that may apply to you.
5.3 Formalities remain your responsibility
Some Documents may require formal execution steps, including:
- handwritten or wet-ink signatures;
- witnesses;
- a commissioner for oaths or notary;
- province-specific wording;
- filing or registration;
- service on another party; or
- retention of originals.
Unless expressly agreed in writing, Legalify is not responsible for completing or verifying those steps for you.
5.4 No review unless expressly included
Unless a paid or stated Service expressly includes human review, Legalify does not review your Documents for legal sufficiency, completeness, correctness, or strategic suitability.
6. Bookings, Listings, and Independent Professionals
6.1 Platform-only role
If Legalify allows you to search for, compare, contact, book, message, or pay an independent lawyer, paralegal, notary, mediator, or other service provider, Legalify acts only as a platform facilitator unless a separate written agreement says otherwise.
6.2 No endorsement
Listings, badges, ratings, filters, search results, recommendations, availability indicators, or profile content do not amount to legal advice, a guarantee, or an endorsement.
6.3 Separate professional relationship
Any relationship between you and an independent legal or professional service provider is separate from your relationship with Legalify. Legalify is not responsible for the acts, omissions, advice, fees, schedules, conduct, or outcomes of independent professionals.
7. Fees, Checkout, Refunds, and No Auto-Renewal
7.1 Price disclosure
Fees are stated in Canadian dollars unless otherwise specified. Applicable taxes may be added where required by law. Legalify will display the total amount payable before you complete a purchase.
7.2 Agreement copy and transaction records
Where required by law, Legalify will provide or make available a copy of the applicable agreement and related disclosures after checkout or account purchase. You should save or print a copy for your records.
7.3 Payment authorization
If you provide payment details, you authorize Legalify and its payment processors to charge the applicable Fees for the Services you select.
7.4 30-day full refund policy
If you purchase a consumer-facing Legalify Service directly from Legalify, you may request a full refund within thirty (30) calendar days of the original purchase date by contacting info@legalify.ca from the email address associated with your account or order.
7.5 Effect of refund
If Legalify grants a refund:
- Legalify may terminate or restrict future access to the refunded paid Service;
- Legalify may disable future editing or platform access tied to that Service; and
- any Documents you already downloaded, signed, used, filed, shared, or relied on remain your responsibility.
A refund does not by itself revoke, invalidate, replace, or correct any Document you already used.
7.6 After 30 days
After the 30-day refund period, Fees are non-refundable except where required by law or where Legalify expressly agrees otherwise in writing.
7.7 No automatic renewal
Legalify does not automatically renew consumer purchases or subscriptions unless Legalify expressly discloses a renewal feature at checkout and you separately agree to it. If no such disclosure appears at checkout, your purchase is one-time only.
8. Electronic Communications
You consent to receive electronic communications from Legalify relating to:
- your account;
- purchases and receipts;
- security notices;
- booking confirmations;
- document access;
- policy updates;
- service changes; and
- other administrative matters.
To the extent permitted by law, electronic notices and records satisfy any legal requirement that a communication be in writing.
9. User Content
9.1 Responsibility for User Content
You are solely responsible for your User Content.
9.2 Your promises
You represent and warrant that your User Content:
- is accurate to the best of your knowledge;
- is lawful;
- does not infringe any third-party right;
- does not violate confidentiality obligations you owe to another person;
- does not contain malicious code; and
- may be collected, used, stored, and disclosed by Legalify as described in this Agreement and the Privacy Policy.
9.3 Licence to Legalify
You grant Legalify a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, process, transmit, and use your User Content as reasonably necessary to:
- provide and improve the Services;
- generate Documents and outputs;
- process bookings and communications;
- secure and troubleshoot the Platform;
- comply with legal obligations; and
- enforce this Agreement.
10. Acceptable Use
You must not:
- use the Platform unlawfully, fraudulently, or deceptively;
- impersonate another person or misrepresent your authority;
- upload malicious software or harmful code;
- attempt to gain unauthorized access to systems or data;
- scrape, crawl, harvest, or systematically extract data from the Platform without written authorization;
- reverse engineer, decompile, or attempt to derive source code except to the limited extent that applicable law prohibits restricting that activity;
- use the Platform to create or distribute unlawful, misleading, defamatory, abusive, discriminatory, infringing, or fraudulent content; or
- use the Platform in a manner that could expose Legalify or others to legal, regulatory, privacy, or security risk.
11. Intellectual Property
The Platform and all related software, branding, site design, workflows, templates, text, graphics, and compilations are owned by or licensed to Legalify and protected by law.
Subject to this Agreement and payment of applicable Fees, Legalify grants you a limited, non-exclusive, non-transferable, revocable licence to use the Platform for your own lawful personal or internal business purposes.
No ownership rights are transferred to you except as expressly stated.
12. Privacy
Your use of the Platform is subject to the Privacy Policy and CASL Acknowledgement.
13. Suspension and Termination
Legalify may suspend, restrict, or terminate your access, with or without notice, if:
- you breach this Agreement;
- you fail to pay applicable Fees;
- your use creates legal, regulatory, fraud, abuse, privacy, or security risk;
- Legalify suspects unauthorized practice, impersonation, abuse, or unlawful conduct; or
- Legalify discontinues a Service.
You may stop using the Platform at any time.
Termination does not affect accrued rights, payment obligations, refund rights already exercised, or provisions that by their nature survive termination.
14. Disclaimer of Warranties
To the maximum extent permitted by law, the Platform, Services, Documents, and all outputs are provided “as is” and “as available.”
Legalify disclaims all warranties, conditions, and representations, express, implied, statutory, or collateral, including any warranty or condition of:
- merchantability;
- fitness for a particular purpose;
- accuracy;
- completeness;
- availability;
- compatibility;
- security;
- non-infringement; or
- legal sufficiency.
Without limiting the above, Legalify does not warrant that:
- the Platform will meet your needs;
- any Document or output will be valid or enforceable;
- any professional listed on the Platform will be available or suitable;
- the Platform will be uninterrupted, secure, or error-free; or
- any particular result or legal outcome will be achieved.
15. Limitation of Liability
To the maximum extent permitted by law, Legalify and its affiliates, officers, directors, employees, contractors, licensors, suppliers, payment processors, hosting providers, and agents will not be liable for any indirect, incidental, special, consequential, punitive, exemplary, or aggravated damages, or for any loss of profits, revenue, business, goodwill, data, expected savings, reputation, opportunity, or legal position arising from or relating to the Platform, the Services, the Documents, or this Agreement.
Without limiting the above, Legalify is not liable for losses arising from:
- your reliance on general information or automated outputs;
- errors or omissions in information you provided;
- your failure to obtain legal advice;
- your failure to complete required execution or filing formalities;
- acts or omissions of independent professionals;
- rejection of a Document by a court, registry, or third party; or
- interruptions, cyber incidents, outages, or changes in law beyond Legalify’s reasonable control.
To the maximum extent permitted by law, Legalify’s total aggregate liability for all claims relating to the specific Service giving rise to the claim will not exceed the greater of:
- the total amount you paid to Legalify for that specific Service in the twelve (12) months before the event giving rise to the claim; and
- CAD $100.
Nothing in this Agreement excludes or limits liability that cannot lawfully be excluded or limited.
16. Indemnity
You agree to defend, indemnify, and hold harmless Legalify and its affiliates, officers, directors, employees, contractors, licensors, and agents from and against claims, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising out of or relating to:
- your User Content;
- your use or misuse of the Platform;
- your breach of this Agreement; or
- your violation of any law or third-party right.
17. Quebec Consumers and Language
If you are a consumer in Quebec, a French version of this Agreement and the related consumer-facing documents should be made available to you before or at the time required by law.
If you expressly choose the English version after first being presented with the French version, you confirm your wish that this Agreement and the related documents be drawn up in English.

Si vous êtes un consommateur au Québec, une version française du présent contrat et des documents qui s’y rattachent doit vous être remise ou rendue accessible conformément à la loi applicable. Si vous choisissez expressément la version anglaise après avoir d’abord eu accès à la version française, vous confirmez votre volonté que le présent contrat et les documents qui s’y rattachent soient rédigés en anglais.
18. Governing Law and Mandatory Rights
Except where mandatory law requires otherwise, this Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law rules.
Any dispute relating to this Agreement or the Platform will be brought before the courts of Ontario, Canada, except to the extent mandatory law gives you a non-waivable right to proceed in another forum or under another law.
Nothing in this Agreement waives any non-waivable consumer, privacy, language, accessibility, or other statutory right.
19. Changes to This Agreement
Legalify may update this Agreement from time to time by posting a revised version with a new “Last Updated” date. Your continued use of the Platform after the effective date of the revised version constitutes acceptance of the updated Agreement.
20. General
If any provision of this Agreement is held invalid or unenforceable, the remaining provisions continue in full force and effect.
Legalify’s failure to enforce any provision is not a waiver.
You may not assign this Agreement without Legalify’s prior written consent. Legalify may assign this Agreement in connection with a merger, reorganization, financing, or sale of assets.
This Agreement, together with the documents incorporated by reference and any order confirmation or checkout disclosure, forms the entire agreement between you and Legalify regarding the Platform.
